Terms of Service

These Terms of Service (“Terms”) govern your use of Palzin LLC’s consultancy, IT infrastructure, cloud, managed services, and T\&M-based projects. By engaging our services, you agree to these Terms.

Services

Palzin LLC provides:

  • IT consultancy and advisory services.
  • Infrastructure and cloud management.
  • Managed services and support.
  • Time & Material (T\&M) based projects with defined hour commitments.

Engagement & Commitments

  • Clients must commit to a minimum of 50 hours (“bucket”)per engagement.
  • Bucket sizes may increase based on mutual agreement.
  • Work is performed against prepaid hours.

Payment Terms

  • A 50% advance payment is required at the start of each bucket.
  • Payments are accepted via direct US bank transfer only.
  • Remaining balance must be cleared upon completion of allocated hours or at milestone billing (as agreed).
  • Delayed payments may result in suspension of services.

Refunds & Cancellations

  • Advance payments are non-refundable, except in cases where Palzin LLC cannot deliver the agreed services.
  • Unused hours may be carried forward within the same quarter, subject to agreement.

Client Responsibilities

  • Provide timely access to systems, information, and stakeholders required for service delivery.
  • Ensure all data shared with Palzin LLC is accurate and authorized.

Palzin LLC Responsibilities

  • Deliver services professionally and within the agreed scope.
  • Maintain confidentiality of client data and intellectual property.

Confidentiality

Both parties agree to keep confidential information private and not disclose it to unauthorized third parties, except as required by law.

Palzin LLC Responsibilities

  • All deliverables created by Palzin LLC remain the property of the client once full payment is received.
  • Palzin LLC retains rights to internal methodologies, tools, and frameworks used in delivery.

Limitation of Liability

Palzin LLC is not liable for indirect, incidental, or consequential damages arising from services. Our maximum liability is limited to the total amount paid by the client for the specific engagement.

Termination

Either party may terminate the engagement with written notice. Advance payments for active buckets are non-refundable.

Governing Law

These Terms are governed by the laws of the State of Wyoming, USA.
